1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of the Hydra Dynamics Ltd. (“Hydra Dynamics,” “we,” “us,” or “our”) website and any related engineering, consulting, or delivery services we provide. By using our website or engaging our services, you agree to these Terms and our Privacy Policy.

2. Agreement

If you do not agree with these Terms, please discontinue use of our website and do not engage our services. Where you enter into a separate statement of work, master services agreement, or similar contract (“Engagement Agreement”), those documents control for that engagement if they conflict with these Terms solely as to that engagement.

3. Services

Hydra Dynamics provides digital engineering and related professional services as described in proposals, scopes of work, or Engagement Agreements. Deliverables, timelines, fees, acceptance criteria, and intellectual property terms are defined in those documents unless expressly stated otherwise.

4. Acceptable use

You agree not to misuse our website or services. Without limitation, you must not:

• Violate applicable laws or third-party rights;
• Attempt unauthorized access to our systems, networks, or client environments;
• Introduce malware or interfere with security or availability;
• Scrape, crawl, or automate access to our website in a way that harms performance or violates robots instructions;
• Use our branding or materials in a misleading way implying endorsement where none exists.

5. Client responsibilities

You agree to provide timely access, materials, approvals, and accurate information reasonably required for delivery. Delays caused by missing inputs, third-party vendors, or factors outside our reasonable control may affect schedules and pricing as described in your Engagement Agreement.

6. Fees and payment

Fees, invoicing schedules, taxes, and expenses are set out in your Engagement Agreement or proposal. Unless stated otherwise, invoices are due according to the agreed schedule, and late payments may incur reasonable administrative charges or suspension of work where permitted by law.

7. Intellectual property

Unless otherwise agreed in writing, Hydra Dynamics retains rights to pre-existing materials, tools, libraries, and methodologies. Ownership of deliverables and licenses to use them are defined in your Engagement Agreement. You grant us a limited license to use your marks and materials solely as needed to perform the services.

8. Confidentiality

Both parties may receive confidential information. Each party agrees to protect the other’s confidential information using reasonable care and to use it only for the purposes of the engagement, subject to any stricter obligations in an Engagement Agreement or NDA.

9. Disclaimers

To the fullest extent permitted by law, our website and any materials are provided “as is” without warranties of any kind, express or implied. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

10. Limitation of liability

To the extent permitted by law, Hydra Dynamics will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of or related to these Terms or our services is limited to the fees paid by you to Hydra Dynamics for the specific services giving rise to the claim during the twelve (12) months preceding the claim, unless a different cap is stated in your Engagement Agreement.

11. Termination

Either party may terminate an engagement as set forth in the Engagement Agreement. We may suspend or restrict website access where necessary to address security risk or misuse. Provisions that by nature should survive termination—including confidentiality, intellectual property, limitation of liability, and governing law—will survive.

12. Changes to these Terms

We may update these Terms periodically. The “Last updated” date will change accordingly. Continued use of the website after changes constitutes acceptance of the revised Terms, except where applicable law requires additional consent.

13. Governing law

These Terms are governed by the laws of Sri Lanka, without regard to conflict-of-law principles, unless mandatory consumer protections or exclusive jurisdictions apply where you reside.
